Other Events.

On September 12, 2024, Manitex International, Inc., a Michigan corporation (“Manitex” or the “Company”), issued a press release announcing entry into an Agreement and Plan of Merger (the “Merger Agreement”) with Tadano Ltd. (“Tadano”), a Japanese corporation and Lift SPC Inc., a Michigan corporation and wholly owned subsidiary of Tadano. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
