On ~~November~~January 2824, ~~2023~~2024, ~~Rocco DelGuercio notified~~ Investcorp US Institutional Private Credit Fund (the “Company”) held its Special Meeting of ~~his~~Shareholders ~~resignation~~(the as“Special Meeting”). At the Special Meeting, the Company submitted one proposal to the vote of the Company’s ~~Chief~~shareholders, ~~Financial~~which ~~Officer,~~is ~~Chief~~described ~~Compliance~~in ~~Officer,~~detail ~~Treasurer~~in ~~and~~the ~~Secretary,~~Company’s ~~effective~~proxy asstatement ofdated ~~March~~January 315, 2024. Mr(the “Proxy Statement”). As of December ~~DelGuercio’s~~27, ~~resignation~~2023, isthe ~~not~~record adate ~~result~~for the Special Meeting, 2,522,659 common shares of ~~any~~beneficial ~~disagreement~~interest, ~~with~~$0.01 ~~the~~par ~~Company~~value onper ~~any~~share ~~matter~~(the ~~relating~~“Shares”), were eligible to be voted. Of the ~~Company’s~~Shares ~~operations~~eligible to be voted, ~~policies~~2,522,659 orShares ~~practices~~were ~~(accounting~~voted in person or ~~otherwise)~~by proxy in connection with the proposal.

Below is a description of the proposal voted on at the Special Meeting and the final results of such voting.

Proposal 1: Business Development Company De-Registration

The Company’s shareholders authorized the Company’s Board of Trustees to withdraw the Company’s election to be regulated as a business development company under the Investment Company Act of 1940, as amended. The voting results were as follows:
