4Note 1 – Organization and Plan of Business Operations

~~Table~~Sound Point Acquisition Corp I, Ltd (the “Company”) was incorporated as a Cayman Islands exempted company on May 4, 2021, for the purpose of ~~Contents~~effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses or entities, which the Company refers to as the initial Business Combination (the “Business Combination”).

~~SOUND~~The ~~POINT~~Company ~~ACQUISITION~~is ~~CORP~~not Ilimited to a particular industry or geographic region in the identification and acquisition of a target company. The Company is an emerging growth company and, ~~LTD~~as such, is subject to all of the risk associated with emerging growth companies.

As of March 31, 2023, the Company had not commenced any operations. All activity for the period from May 4, 2021 (inception) through March 31, 2023, relates to the Company’s formation and the initial public offering (“IPO”), which is described below, and subsequent to the IPO identifying a target company for a Business Combination. The registration statements for the Company’s IPO became effective on March 1, 2022 (the “Effective Date”). On March 4, 2022, the Company consummated its IPO of 25,875,000 units (the “Units”), which includes 3,375,000 Units issued and sold pursuant to the underwriters’ exercise of their option in full to purchase additional Units. Each Unit consists of one Class A ordinary share of the Company, par value of $0.0001 per share (the “Class A ordinary shares”), and

Income Taxes

The Company accounts for income taxes under FASB ASC 740 (“Income Taxes”) which clarifies the accounting for uncertainty in income taxes recognized in an enterprise’s financial statements and prescribes a recognition threshold and measurement process for financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. For those benefits to be recognized, a tax position must be
