Item 87.01. ~~Other~~Regulation ~~Events~~FD Disclosure.

Amendment of By-Laws. On ~~December 1~~February 24, ~~2020~~2022, the Board of Trustees of Nuveen Floating Rate Income Opportunity Fund ~~(NYSE: JRO)~~, a registered closed-end management investment company (the “Fund”), ~~announced~~adopted ~~the~~Amendment ~~approval~~No. of1 ~~a new sub-advisory agreement between Nuveen Fund Advisors, LLC~~ (~~“Nuveen~~the ~~Fund Advisors~~“Amendment”), to the ~~Fund’s~~Amended ~~investment adviser,~~ and ~~Nuveen~~Restated ~~Asset Management, LLC (“NAM”). The new sub~~By-~~advisory~~Laws ~~agreement was approved in connection with the forthcoming merger~~ of the Fund~~’s current~~. ~~sub-adviser,~~The ~~Symphony~~Amendment ~~Asset Management LLC (“Symphony”), with and into NAM, which~~ is ~~currently~~attached ~~scheduled~~hereto toas ~~close~~Exhibit ~~on December 31, 2020~~3.1 ~~Symphony~~ and ~~NAM~~is ~~are both affiliates of Nuveen~~incorporated ~~Fund~~herein ~~Advisors~~by ~~and all are subsidiaries of Nuveen, LLC~~reference. ~~The new sub-advisory agreement will become effective upon the close of the merger.~~

~~The~~On ~~terms~~February 24, of2022, the ~~new~~Fund ~~sub-advisory~~issued ~~agreement~~a ~~with~~press ~~NAM~~release ~~are~~in ~~substantially~~connection ~~identical to the current sub-advisory agreement~~ with ~~Symphony. NAM will provide~~ the ~~same~~adoption ~~level~~ of ~~services to~~ the ~~Fund, with the Symphony personnel who currently serve as portfolio managers of the Fund continuing to do so as NAM personnel~~Amendment. In ~~addition, this change will not impact the Fund’s fees, investment objectives or policies.~~
