Regulation FD Disclosure.

As previously disclosed, iHeartMedia, Inc. (the “iHeartMedia”), the indirect parent of iHeartCommunications, Inc. (“iHeartCommunications”), has been engaged in ongoing discussions with its stakeholders with respect to the restructuring of its capital structure. In connection with such discussions, including a meeting held on April 5, 2018, iHeartMedia has shared certain financial information with advisors to groups of its stakeholders. iHeartCommunications and certain of its creditors entered into non-disclosure agreements (“NDAs”) in furtherance of these discussions. iHeartCommunications is making disclosures herein in accordance with the terms of the NDAs.
