Item 8.01 Other Events

On March 28, 2014, CRC Health Corporation (“CRC” or “the Company”), refinanced its outstanding indebtedness and discharged its obligations under the Indenture dated as of February 6, 2006, by and among CRCA Merger Corporation, CRC Health Corporation, the Guarantors named therein and U.S. Bank National Association, as Trustee, with respect to the 10 ³/₄% Senior Subordinated Notes due 2016 (as supplemented through the date hereof, the “Indenture”) (the “Refinancing”). Prior to the Refinancing, the Company had been filing reports under the Securities Exchange Act of 1934 (the “Exchange Act”) as “voluntary filer” in satisfaction of the disclosure obligations under the Indenture. As a result of the Refinancing, the Company no longer has any reporting obligations under its debt facilities and will therefore cease filing reports under the Exchange Act.
