Entry into a Material Definitive Agreement.

OnAs ~~March~~previously 20disclosed, ~~2010,~~on ~~Equinix~~March 20, ~~Inc. (“Equinix”)~~2010, Switch & Data Facilities Company, Inc. (“Switch and Data”), Equinix, Inc. (“Equinix”) and Sundance Acquisition Corporation, a wholly-owned subsidiary of ~~Equinix~~ ~~(“Merger Sub”)~~Equinix, ~~entered~~amended ~~into a First Amendment to~~ the Merger Agreement ~~and~~among ~~Plan~~them ofdated ~~Merger~~October 21, 2009 (the “~~Amendment~~Merger Agreement”), ~~which~~to ~~amends~~extend ~~that~~the ~~certain~~date ~~Agreement~~on ~~and~~which ~~Plan~~either ~~of Merger dated October 21, 2009 by and among~~ Equinix, or Switch and Data ~~and~~may ~~Merger~~terminate ~~Sub (~~the “Merger Agreement~~”).~~ from March 21, 2010 to April 21, 2010.

~~The~~On ~~Amendment~~April 20, ~~extends~~2010, Equinix waived compliance with the ~~date~~condition onset ~~which~~forth ~~either~~in ~~Equinix~~Section 9.02(e) orof the Merger Agreement as it relates to consents regarding assignment and change in control provisions in certain of Switch and Data’s ~~may~~leases. As ~~terminate~~a result, at this time, all conditions to the ~~Merger~~merger ~~Agreement~~have (been satisfied other than the ~~“End~~expiration ~~Date”)~~or iftermination of the ~~merger~~waiting ~~has~~period ~~not~~imposed ~~become~~by ~~effective~~the ~~from~~Hart-Scott-Rodino ~~March 21~~Antitrust Improvement Act of 1976, ~~2010~~as toamended, ~~April~~and conditions that by their nature can be satisfied only at the time of closing. 21Completion of the merger remains subject to the satisfaction or waiver of these conditions and the other closing conditions specified in the Merger Agreement as of the closing date. Subject to satisfaction of these conditions, ~~2010~~it is expected that Switch and Data will announce the expected closing date of the merger by issuing a press release and filing that press release on Form 8-K with the Securities and Exchange Commission no later than five business days before the expected closing date.

Under the terms of the Amendment and the Merger Agreement, either Equinix or Switch and Data may terminate the Merger Agreement if the merger has not become effective on or before April 21, 2010; except that the Merger Agreement may not be terminated by a party whose breach of the Merger Agreement has resulted in such failure; and provided that the End Date will be automatically extended to June 21, 2010 if any applicable antitrust or competition law approvals have not been received but all other conditions to the closing of the merger have been satisfied.

Completion of the merger remains subject to the expiration or termination of the waiting period imposed by the Hart-Scott-Rodino Antitrust Improvement Act of 1976, as amended, and the satisfaction or waiver of the other closing conditions specified in the Merger Agreement. Switch and Data will announce the expected closing date of the merger by issuing a press release and filing that press release on Form 8-K with the Securities and Exchange Commission no later than five business days before the expected closing date.
