Item 8.01.

Other Events.

On December 10, 2009, Leadis Technology, Inc. (the “Company”) issued a press release announcing that, in accordance with the Plan of Dissolution approved by the Company’s stockholders on October 23, 2009, its Board of Directors has approved an initial liquidating distribution (the “Initial Distribution”) in the amount of $0.95 per share of common stock. The Company expects the Initial Distribution to be made on or about December 14, 2009.

A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
