Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 14, 2007, Nicholas M. Burke, vice president, controller and principal accounting officer of the registrant, tendered his resignation from the registrant. The resignation will become effective on or about July 6, 2007. Mr. Burke has accepted a position with a Florida-based biotechnology company.
