On July 21, 2005, Priority Healthcare Corporation (“Priority”) issued a press release announcing the execution of the Agreement and Plan of Merger, dated as of July 21, 2005 (the “Merger Agreement”), by and among Express Scripts, Inc. (“Express Scripts”), Pony Acquisition Corporation, a wholly owned subsidiary of Express Scripts, and Priority, a copy of which press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
