[F1]The Reporting Person is a party to twelve separate agreements dated 02/28/2001 with eleven investors who agreed to purchase shares of common stock from Chief Consolidated Mining Company. The eleven investors agreed to purchase a total 895,000 shares of common stock from Chief Consolidated Mining Company for $2.00 per share and the Reporting Person agreed, in separate agreements with each investor, to purchase any or all of the shares from the investor(s) for $2.00 per share, at the request of the investor(s), during an exercise window which lasted for 5 days from March 11, 2002 to March 15, 2002.
