The Form 4 is revised to report the transaction with the Transaction Code "J," with the following description: On February 28, 2003, the reporting person acquired beneficial ownership of 1,567,959 shares of IPFS common stock and 10,380 shares of IPFS Series C Nonconvertible Preferred Stock from a related party in return for the forgiveness of debt and the assumption by the reporting person of certain financial obligations of the related party. The reporting person was an officer and director of the related party, but expressly disclaims beneficial ownership, prior to the transaction, of the common and preferred stock acquired in the transaction.
