On December 16, 2004, the reporting person accepted the issuer's offer to rescind the option exchange program. Consequently, he gave up his rights in the shares of restricted stock, which would have vested in four equal annual installments beginning on 1/23/2005, and reacquired all options cancelled in the option exchange program.
