- [F1]Pursuant to Plan of Reorganization of Crescent Operating, Inc. confirmed by US Bankruptcy Court, Issuer on January 18, 2005, filed in Delaware an amendment to its Certificate of Incorporation automatically cancelling each outstanding share of Common Stock and converting the same into a "right to receive that number of common shares of beneficial interest [of Crescent Real Estate Equities Company (CEI) as provided] in the manner and upon the terms set forth in the Plan of Reorganization," pursuant to which Reporting Person, RI, OT, CRUT and Reporting Person's spouse thereafter received an aggregate of 19,347 common shares of CEI, valued at $17.39 per share, or $336,444.33 in aggregate, as of the Transaction Date.
- [F2]Rainwater, Inc. (RI) is wholly owned by Reporting Person. Office Towers LLC (OT) is wholly owned by Reporting Person and RI. Subsequent to Reporting Person's last report, Rainwater Rainam Investors (RRI) and Rainwater Investor Partners, Ltd. (RIP) were merged into OT. The number of securities held by OT equalled the aggregate number of securities held by each of RRI, RIP and OT immediately prior to the merger and shown on the last report of Reporting Person.
- [F3]The Richard E. Rainwater 1995 Charitable Remainder Unitrust No. 1, dated March 10, 1995 (CRUT), Richard E. Rainwater, Successor Trustee to J. Randall Chappel, Successor Trustee to Richard E. Rainwater, Original Trustee. Reporting Person is sole trustee and settlor of CRUT, exercises investment control over stock held by CRUT, and may have a pecuniary interest in stock held by CRUT; however, inclusion of CRUT stockholdings in this report shall not be deemed an admission that Reporting Person is the beneficial owner of such securities for purposes of Section 16.
