- [F1]The reporting person, a director of NTL Incorporated (the "Company"), is also a managing director of Oaktree Capital Management, LLC ("Oaktree"), a registered investment adviser under the Investment Advisers Act of 1940. Oaktree is the general partner and investment manager of certain investment funds and third party accounts (the "Oaktree Funds & Accounts") that hold, in the aggregate, 4,394,208 shares of common stock of the Company. The Oaktree Funds & Accounts received, in the aggregate, 3,085,802 transferable subscription rights (the "Rights") in connection with the common stock rights offering of the Company that commenced on November 4, 2003. Each Right entitles the holder to purchase one additional share of common stock of the Company at $40 per share. On November 10, 2003, the Oaktree Funds & Accounts sold 175,000 Rights in market transactions at $21.61 per Right. On November 12, 2003, the Oaktree Funds & Accounts sold 39,581 Rights in market transactions at $19.25 per Right.
- [F2]After giving effect to the sales reported herein and previously reported sales, the Oaktree Funds & Accounts hold 1,806,566 remaining Rights. Neither Oaktree nor any of the Oaktree Funds & Accounts are reporting persons for Section 16 purposes. Mr. Wyard hereby disclaims all beneficial ownership of any such Rights or shares of common stock of the Company held by the Oaktree Funds & Accounts, except to the extent of any pecuniary interest therein.
