In accordance with such Stock Purchase Agreement, upon the closing of the transaction, the Reporting Person (a) resigned as the Issuer's Chairman of the Board, Chief Executive Officer and President, (b) was appointed the Issuer's Executive Vice President, and (c) remains a director of the Issuer.
