Results of Operations and Financial Condition.

On April 9, 2012, Green Bankshares, Inc. (Nasdaq: GRNB) issued a press release announcing its financial results for the quarterly period and fiscal year ended December 31, 2011. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
