Item 2.02 Results of Operations and Financial Condition.

On July 19, 2010, Odyssey HealthCare, Inc. (together with its subsidiaries, the “Company”) issued the press release attached hereto as Exhibit 99.1 announcing, among other things, that the Company expects to report fully diluted earnings per share attributable to Odyssey stockholders of $0.39 to $0.41 for the second quarter ended June 30, 2010. The Company also announced that it expects to report full financial results for the second quarter on July 28, 2010.
