Item 8.01 Other Events.

On January 24, 2008, Nexity Financial Corporation issued a press release with respect to a new subsidiary, Nexity Capital Management, LLC, created to manage and oversee a private investment partnership that will pursue investment opportunities in the financial services sector nationally. Nexity Financial has hired John A Pandtle, CFA, to serve as President and Managing Director of Nexity Capital Management, LLC. A copy of the press release is attached as Exhibit 99.1.
