On ~~March~~July 3119, 2010, North American Galvanizing & Coatings, Inc., (“NGA”) filed a ~~Delaware~~Form ~~corporation~~25 (with the ~~“Company”),~~Securities ~~entered~~and ~~into~~Exchange anCommission ~~Agreement~~striking ~~and~~the ~~Plan~~shares of ~~Merger~~its common stock (the “~~Merger Agreement~~Shares”) ~~with~~from ~~AZZ~~listing ~~incorporated,~~and aregistration ~~Texas~~on ~~corporation~~the NASDAQ Stock Market (“~~Parent~~NASDAQ”), ~~and~~effective ~~Big~~as ~~Kettle~~of ~~Merger~~July ~~Sub~~29, ~~Inc~~2010., NGA ais ~~Delaware~~taking ~~corporation~~this ~~and~~action anin ~~indirect~~connection ~~wholly~~with ~~owned~~the ~~subsidiary~~anticipated ofmerger ~~Parent~~ (the “~~Purchaser~~Merger”)~~. Pursuant~~ toof ~~the~~Big Kettle Merger ~~Agreement~~Sub, ~~Purchaser~~Inc. ~~commenced~~(“Merger aSub”), ~~tender~~an ~~offer~~indirect ~~(the~~wholly-owned subsidiary of AZZ incorporated (“~~Offer~~AZZ”), onwith ~~May 7,~~and ~~2010~~into ~~for~~NGA ~~all~~pursuant ofto the ~~Company’s~~Agreement ~~outstanding~~and ~~shares~~Plan of ~~common~~Merger ~~stock~~among NGA, ~~par~~Merger ~~value~~Sub ~~$0.10~~and ~~per~~AZZ ~~share~~dated ~~(the~~March ~~“Company Common Stock”)~~31, at2010. Due ato ~~purchase~~the ~~price~~number of ~~$7.50~~Shares ~~per~~owned ~~share~~by inMerger ~~cash~~Sub, ~~without~~the ~~interest~~requisite ~~(less~~approval ~~any~~of ~~applicable~~the ~~withholding~~Merger ~~taxes)~~by ~~(the~~NGA’s ~~“Offer~~stockholders ~~Price”)~~is assured, ~~upon~~and NGA intends to consummate the ~~terms~~merger ~~and~~as ~~subject~~soon toas ~~the~~possible ~~conditions~~pursuant ~~set~~to ~~forth~~applicable inlaw. NGA anticipates that the Merger ~~Offer~~will tobe ~~Purchase,~~effective ~~dated~~on ~~May 7~~August 3, 2010. Upon completion of the Merger, ~~and~~NGA will no longer meet the ~~related~~numerical ~~Letter~~ listing requirements of ~~Transmittal~~NASDAQ.

~~The~~NGA ~~Offer~~anticipates ~~expired~~that atthe ~~5:00~~Shares ~~p.m.,~~will ~~Central~~be ~~Daylight~~traded ~~Saving~~only ~~Time,~~ on ~~June 14, 2010 (~~the OTC “~~Expiration~~grey ~~Time~~market”~~). Based~~ ~~on information~~ from ~~the~~July ~~depositary~~29, as2010 ofthrough ~~the~~August ~~Expiration Time~~2, ~~a total of approximately 12~~2010,~~962,287~~ ~~shares~~and ofNGA ~~Company~~has ~~Common Stock were validly tendered and~~ not ~~withdrawn~~arranged ~~pursuant~~for to the ~~Offer,~~listing ~~resulting~~and/or inregistration ~~a change in control~~ of ~~the~~its ~~Company. These~~Shares ~~shares~~on ofa ~~Company~~national ~~Common~~securities ~~Stock~~exchange ~~(together with (x) the shares of Company Common Stock beneficially owned by Parent, Purchaser~~ or ~~their~~for ~~respective~~quotation ~~subsidiaries and (y) the shares~~ of ~~Company~~its ~~Common~~Shares ~~Stock that were issuable upon exercise of options, that were held~~ in ~~trust~~a ~~pursuant~~quotation tomedium ~~the~~during ~~Company’s~~this Director Stock Unit Program or that constituted restricted shares, in each case which the Purchaser exercised its option to purchase), represent approximately 83% of the Company’s outstanding shares of Company Common Stock determined on a fully diluted basistime.

The Merger Agreement provides, among other things, that following the consummation of the Offer and subject to the satisfaction or waiver of the conditions set forth in the Merger Agreement and in accordance with the Delaware General Corporation Law, Purchaser will merge with and into the Company (the “Merger”), and each share of Company Common Stock not acquired in the Offer will be cancelled and converted into the right to receive the Offer Price (other than shares of Company Common Stock held in the treasury of the Company or owned by Parent, Purchaser or any of their subsidiaries, and shares of Company Common Stock held by stockholders who properly demand appraisal rights). Following the effective time of the Merger, the Company will continue as an indirect wholly owned subsidiary of Parent. The closing of the Merger is subject to approval by holders of two-thirds of the outstanding shares of Company Common Stock entitled to vote at a meeting of the stockholders of the Company, voting together as a single class. As a result of the number of shares of Company Common Stock tendered in the Offer, Purchaser holds a sufficient number of shares of Company Common Stock such that the vote of any other stockholder of the Company will not be required to approve the Merger.

In connection with the expected closing of the Merger and conversion of the shares of Company Common Stock into the right to receive the Offer Price, on June 30, 2010 the Company notified the NASDAQ Stock Market (“NASDAQ”) that the Company intends to file a Form 25 with the Securities and Exchange Commission (the “SEC”) to strike the Company Common Stock from listing and registration thereon. On or about the effective date of the Merger, and after the effective date of the Form 25, the Company intends to file with the SEC a

Form 15 to deregister the Company Common Stock under Section 12(g) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and to suspend the remaining reporting obligations of the Company under the Exchange Act.

In particular, the representations, warranties and covenants set forth in the Merger Agreement (1) were made solely for purposes of the Merger Agreement and solely for the benefit of the contracting parties, (2) may be subject to limitations agreed upon by the contracting parties, including being qualified by confidential disclosures made to Parent and Purchaser in connection with the Merger Agreement, (3) will not survive consummation of the Merger, (4) are qualified in certain circumstances by a materiality standard which may differ from what may be viewed as material by investors, (5) were made only as of the date of the Merger Agreement or such other date as is specified in the Merger Agreement, and (6) may have been included in the Merger Agreement for the purpose of allocating risk between the parties rather than establishing matters as facts. Investors are not third party beneficiaries under the Merger Agreement, and should not rely on the representations, warranties and covenants or any descriptions thereof as characterizations of the actual state of facts or conditions of the parties. Moreover, information concerning the subject matter of the representations and warranties may change after the date of the Merger Agreement, which subsequent information may or may not be fully reflected in subsequent public disclosure.
