ITEM 1.01

MATERIAL DEFINITIVE AGREEMENT

Uniprop Manufactured Housing Communities Income Fund II (”Fund”) currently owns one manufactured housing community located in Nevada.

On April 27, 2018, the Fund entered into a Contract for the Purchase and Sale of all the Real and Personal Property of West Valley, located in Las Vegas, NV, with a Buyer (“Buyer”).

On ~~June~~July 1531, 2018, the Fund and Buyer executed an Amendment to the Purchase and Sale Agreement which allowed for athe ~~reduction~~release of the ~~Purchase Price from~~ $~~45,571,000~~2 tomillion ~~$43,471,000, a~~earnest ~~reduction~~money ofdeposit ~~4.6%~~held ~~due~~in toescrow with ~~issues~~the ~~discovered~~Title ~~during~~Company ~~due~~to ~~diligence~~the seller. ~~The~~In ~~Earnest~~addition, ~~Money~~the ~~Deposit~~closing ~~increased~~date toshall ~~$2,000,000~~be ~~and~~amended ~~is now nonrefundable~~ to ~~the~~August ~~Buyer~~15, ~~except~~2018, inwith the ~~event~~Buyer ~~that~~remitting an ~~the~~extension ~~Fund~~fee ~~refuses~~of ~~to close. In addition~~$100,000 ~~the~~which ~~Amendment~~will ~~provides~~not ~~that~~be aapplied ~~closing date~~nor ~~shall~~credited ~~occur~~to nothe ~~later~~Purchase ~~than July 25, 2018~~Price. ~~However~~Lastly, if the Buyer ~~provides~~cannot ~~written~~meet ~~notice~~the terms toof the ~~Fund~~August ~~by July 19~~15, 2018 ~~and pays an~~ extension ~~fee~~and ofwishes ~~$40,000,~~to extend the ~~Closing~~closing ~~Date~~date ~~can be extended~~ to August 122, 2018., ~~The~~the ~~Extension~~Buyer ~~Fee~~must remit an additional $100,000 extension fee which will not be applied nor credited to the Purchase Price.

The Amendment to the Contract was unanimously approved by the Board of Directors ~~and the recommendation from the General Partner to amend the Contract was supported by the Consultant for the Fund~~.

While the Fund’s management believes that the Buyer is financially capable of completing the proposed transaction and intends to consummate the purchase, there can be no assurance that the closing will occur.
