Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 27, 2018, Mr. Shuo-Wei Shih tendered his resignation as Chief Executive Officer and director of NowNews Digital Media Technology Co. Ltd. (the “Company”), effective immediately. Mr. Shih’s decision to resign was caused by the restructuring in the Board and was not as a result of any disputes with the Company.

On the same day, Mr. En Ming Tseng tendered his resignation as director of the Company, effective immediately. Mr. Tseng’s decision to resign was caused by the restructuring in the Board and was not as a result of any disputes with the Company.

The Board is actively interviewing the replacement and believes that it will be able to appoint a new qualified Chief Executive Officer and directors in the near future.
