On ~~August~~September 61, 2015, ~~AR Capital, LLC (“ARC”), the sponsor of~~ American Realty Capital Daily Net Asset Value Trust, Inc. (the “Company”), ~~entered~~held ~~into~~ a ~~Transaction~~ ~~Agreement~~special ~~(the~~meeting ~~“Transaction Agreement”) with AMH Holdings (Cayman), L.P., a Cayman Islands exempted limited partnership (“AMH”), and an affiliate~~ of ~~Apollo~~stockholders ~~Global Management, LLC~~ (~~NYSE:~~the ~~APO) (together with its consolidated subsidiaries,~~ “~~Apollo”),~~Special ~~and a newly formed entity, AR Global Investments, LLC, a Delaware limited liability company (“AR Global~~Meeting”). ~~The~~at ~~Transaction Agreement provides that ARC will transfer to AR~~which ~~Global substantially all of~~ the ~~assets~~stockholders ofvoted ~~its~~on ~~ongoing~~a ~~asset~~proposal ~~management business (including equity interests in its subsidiaries). AMH will contribute money and other assets~~ to ARapprove ~~Global. Following~~ the ~~consummation~~sale of ~~the~~ ~~transactions~~all ~~(the~~or ~~“Transactions”)~~substantially ~~contemplated~~all byof the ~~Transaction~~Company’s ~~Agreement~~assets, ~~AMH~~the ~~will hold a 60% interest in~~Company’s ~~AR Global and ARC will hold a 40% interest in AR Global. The business and affairs of AR Global will be overseen by a board of managers comprised of ten members~~liquidation, ~~six of which will be appointed by AMH~~ and ~~four~~the ~~of which will be appointed by ARC. The~~ Company’s ~~advisor~~dissolution, ~~property~~pursuant ~~manager~~to ~~and~~a ~~sponsor~~plan ~~are~~of ~~currently~~liquidation. ~~owned~~The ~~indirectly~~stockholders byapproved ~~ARC and following~~ the ~~Transactions will be owned indirectly by AR Global~~proposal.

~~Also~~The onfull ~~August~~results ~~6, 2015, RCS Capital Corporation (“RCS Capital”), the parent~~ of the ~~Company’s~~proposal ~~former~~voted ~~dealer~~on ~~manager~~at ~~and a company under common control with ARC, announced that it has entered into an agreement with an affiliate of Apollo to sell RCS Capital’s Wholesale Distribution division, including~~ the ~~Company’s~~Special ~~former dealer manager, and certain related entities. Upon completion of the transaction,~~Meeting ~~the~~are ~~Company’s~~set ~~former~~forth dealer manager will continue to operate as a stand-alone entity within AR Global. The current management team of the Company’s former dealer manager, which is led by William E. Dwyer III, will continue to operate the day-to-day functions of the business.below:

Despite~~ the ~~indirect~~Sale ~~change~~ of ~~control~~All ~~that~~or ~~would occur~~Substantially ~~for~~All of the Company’s ~~advisor~~Assets, ~~property~~ ~~manager and sponsor upon consummation of~~ the ~~various~~Company’s ~~Apollo transactions~~Liquidation, ~~such~~ ~~entities~~and ~~are expected to continue to serve in their respective capacities to~~ the Company ~~following the Transactions. The Company~~’s ~~independent~~Dissolution, ~~directors~~Pursuant ~~unanimously~~to ~~endorsed~~a ~~the~~Plan ~~Transactions.~~of Liquidation:
