Item 2.02.

Results of Operations and Financial Condition.

On March 31, 2015, China Education Alliance, Inc., a North Carolina corporation (the “Company”), announced its results of operations for the fourth quarter and the year ended December 31, 2014. A copy of the press release is annexed as Exhibit 99.1 hereto.
