- [F1]On June 20, 2013 (the "Grant Date"), Robert J. Farrell (the "Reporting Person") was granted a restricted share award of 8,474 restricted shares of common stock, par value $0.01 per share ("Common Stock"), of I.D. Systems, Inc. (the "Company") in consideration of his services as a director of the Company. This restricted share award shall vest as to 25% of the restricted shares subject to such award on each of July 14, 2013, October 14, 2013, January 14, 2014 and April 14, 2014, and is subject to the terms and conditions of a restricted share award agreement and the Company's 2009 Non-Employee Director Equity Compensation Plan, as amended (the "Plan").
- [F2]On the Grant Date, the Reporting Person was granted options to purchase 45,000 shares of Common Stock in consideration of his services as a director of the Company. These options vest in equal increments over a four-year period commencing on the Grant Date, such that 25% of the options will vest on the first, second, third and fourth anniversaries of the Grant Date. The options were granted to the Reporting Person subject to the terms and conditions of a stock option agreement and the Plan.
