On¨ ~~March 12,~~Pre-commencement ~~2008,~~communications ~~Integral~~pursuant ~~Vision,~~to ~~Inc.~~Rule 14d-2(~~the “Company”~~b) ~~entered~~under ~~into~~ the ~~Fifth~~Exchange ~~Amended and~~Act ~~Restated Note and Warrant Purchase Agreement~~ (~~the~~17 ~~“Agreement”),~~CFR ~~pursuant to which the Company agreed to issue certain Class 2 Notes, Class 2 Warrants and Class 3 Notes to the investors party to the Agreement~~240.14d-2(b))

~~The Company~~¨ isPre-commencement incommunications ~~default~~pursuant ~~under the Agreement, the Class 2 and Class 3 Notes because it failed~~ to ~~make~~Rule ~~full payment of principal and interest on such notes on their respective maturity dates.~~ 13e-4(~~The Class 2 Notes matured on September 30, 2010, while the Class 3 Notes matured on October 1, 2010.~~c) As ~~of September~~under ~~30, 2010,~~ the ~~outstanding~~Exchange ~~principal~~Act ~~and~~(17 ~~unpaid~~CFR ~~interest on the Class 2 Notes was $4,229,075~~240. ~~As of October 1, 2010, the outstanding principal and interest on the Class 3 Notes was $5,325,588.~~13e-4(c))

~~The~~Item ~~Class 2~~8.01 ~~and~~Other Class 3 Notes are secured by the Company’s intellectual property pursuant to a Collateral Assignment of Proprietary Rights and Security Agreement (the “Collateral Assignment”), and the Class 2 Notes are also secured by the Company’s accounts receivable and inventory pursuant to a Security Agreement (the “Security Agreement”)Events.

~~The~~On ~~Class 2~~March ~~and~~12, ~~Class~~2008, 3Integral ~~Notes~~Vision, ~~have~~Inc. ~~begun~~(the ~~to accrue interest at their default interest~~“Company”) ~~rates,~~entered ~~which~~into isthe ~~equal~~Fifth toAmended ~~their~~and ~~respective~~Restated ~~interest~~Note ~~rates~~and ~~plus~~Warrant anPurchase ~~additional 4%. As~~Agreement ~~such~~(the “Agreement”), ~~certain~~pursuant ~~Class~~to ~~2 Notes are currently accruing interest at~~which the ~~default~~Company ~~rate~~agreed ofto ~~14%~~sell ~~and~~certain ~~other~~ Class 2 Notes, atClass ~~the~~2 ~~default~~Warrants ~~rate~~and ~~of 16%. Also, certain~~ Class 3 Notes ~~are~~to ~~currently accruing interest at~~ the ~~default~~investors ~~rate~~party ofto ~~12% and other Class 3 Notes at~~ the ~~default~~Agreement ~~rate of~~(the ~~16%~~“Investors”).

~~Pursuant~~ Investors have purchased notes pursuant to the ~~Collateral~~Agreement ~~Assignment~~from time to time, and the ~~Security~~proceeds ~~Agreement,~~from such sales were used to fund the ~~Class~~Company’s 2operations. ~~and~~However, ~~Class~~since 3a purchase of a ~~Noteholders~~note ~~(or~~made ~~the~~by ~~collateral~~a ~~agent~~related ~~acting~~party on ~~their~~July ~~behalf)~~26, ~~have~~2012, the ~~right~~Company has been unable to ~~foreclose~~ onsell additional notes under the ~~collateral~~Agreement. ~~covered~~We byhave begun ~~such~~the ~~agreements,~~process ~~and~~of ~~exercise~~seeking ~~any~~alternative sources of ~~several~~ ~~remedies~~capital ~~provided~~to infund ~~such~~our ~~agreements,~~operating ~~including~~expenses ~~taking~~and ~~possession~~working ofcapital needs; however, ~~such~~there ~~collateral~~can ~~and~~be ~~selling~~no ~~such~~assurance ~~collateral~~that the Company will raise funding sufficient to continue operating as a going concern.

~~See~~As of August 14, 2012, the ~~Exhibits~~ ~~furnished~~Company was finalizing ongoing negotiations with ~~this~~a ~~Form~~significant ~~8-K~~customer that requested the Company delay shipment of $667,500 of orders it previously made. The Company anticipates that it will be able to retain the down payment on these orders to cover the expense of work already done, which ~~are~~will ~~incorporated~~mitigate the byfinancial impact of the delay. Final delivery dates for the delayed orders have not been specified. The lack of clarity regarding ~~reference~~an ultimate delivery date, and uncertainty regarding new orders from this customer, have partly contributed to the Company’s difficulties in raising additional funding. While the Company still anticipates that additional material orders will be forthcoming from this customer, they will be delayed from initial expectations and we do not know if or when such additional material orders will actually be made. We do, however, anticipate receiving smaller orders from such customer over the next several months.
