On ~~November~~August 272, ~~2011~~2012, American Rare Earths and Materials, Corp. (the “Company”) received notice of the resignation of ~~Mary~~Werner ~~Bryan~~Zapfe as a director of the Company. Mr. Zapfe’s resignation did not indicate that it was the result of any disagreement with the Company or other members of its Board of Directors. A copy of this current report was furnished to Mr. Zapfe prior to its filing.
