OnItem ~~December 5, 2011, China Intelligence Information Systems, Inc~~3. ~~("the Company") announced that Beijing PowerUnique Technologies Co~~02., ~~Ltd.~~Unregistered ~~("PowerUnique"),~~Sales ~~the Company's wholly-owned subsidiary, has become a Gold Reseller under the Value Added Reseller (“VAR”) program with CA (China) Co., Ltd. ("CA"). A copy~~ of ~~the~~Equity ~~press release is filed as Exhibit 99.1 to this report and is incorporated by reference into this Item 8.01.~~Securities

~~Item~~On 9March 12, 2012, China Intelligence Information Systems, Inc.01 (the “Company”) entered into a Stock Purchase Agreement (the “Agreement”) with Fenghua Fan. Pursuant ~~Financial~~to ~~Statements~~the Agreement, the Company sold 4,880,000 shares of common stock at a purchase price of $0.39 per share for at total of $1,903,200. On the closing date of the Agreement, which shall be no later than March 30, 2012, the Company shall delivery 4,880,000 shares of common stock to Fenghua Fan, and ~~Exhibits~~Fenghua Fan shall pay $1,903,200 (or RMB equivalent at exchange rate of 1:6.30517), in two installments that the first $951,600 on March 15, 2012 and the second $951,600 on March 22, 2012, to the Company.

The Company paid no underwriting discounts or commissions. A copy of the form of stock purchase agreement is filed as Exhibit 10.1 to this Current Report and is incorporated herein by reference.
