Item 4.01 Change in Registrant’s Certifying Accountant

On May 419, 2011, Diguang International Development Co., Ltd. (the “Company”) ~~was~~engaged ~~notified~~Albert byWong ~~BDO~~& ~~China Li Xin Da Hua CPA~~ Co., ~~Ltd.~~as ~~(“BDO China LXDH”),~~ its new independent registered public accounting firm, ~~that BDO China LXDH has decided not to stand~~ for ~~re-election as~~ the ~~independent registered public accounting firm of the Company for~~ fiscal year ~~2011. On~~ending ~~the~~December ~~same date~~31, ~~BDO~~2011 ~~China~~(“New ~~LXDH~~Auditor”). The ~~also~~engagement ~~confirmed~~of ~~that~~ the ~~client-auditor~~New ~~relationship~~Auditor ~~between~~was ~~itself~~approved ~~and~~by the ~~Company~~Audit ~~has~~Committee ~~ceased~~of ~~with~~the ~~immediate effect from May 4, 2011~~Company.

~~BDO~~The ~~China~~Company ~~LXDH’s~~has ~~report~~not onconsulted with the ~~financial~~New ~~statements~~Auditor ~~for~~during ~~the~~its two most recent fiscal ~~year~~years ~~ended~~or ~~December~~during ~~31,~~any ~~2010,~~subsequent ~~which~~interim ~~was~~period ~~dated~~through ~~March~~May 2819, 2011, ~~was~~regarding: ~~modified~~(i) the application of accounting principles to ~~emphasize~~a ~~management’~~specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company's ~~uncertainty~~consolidated asfinancial statements, and neither a written report was provided to the Company’s ~~ability~~nor was oral advice provided that the New Auditor concluded was an important factor considered by the Company in reaching a decision as to ~~continue~~the accounting, auditing or financial reporting issue; or (ii) any matter that was either the subject of disagreement (as defined in Item 304(a)(1)(iv) ~~going~~of ~~concern~~Regulation S-K and the related instructions) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).

BDO China LXDH’s reports on the financial statements for the last two fiscal years did not contain an adverse opinion or disclaimer of opinion or was qualified or modified as to uncertainty, audit scope or accounting principles, save as disclosed in the preceding paragraph.

During the fiscal years ended December 31, 2009 and 2010, and the interim period through May 4, 2011, there was no disagreement between the Company and BDO China LXDH regarding any of the matters described in Item 304(a)(1)(iv) of Regulation S-K, nor was there any reportable event described in Item 304(a)(1)(v) of Regulation S-K.

The Company has provided BDO China LXDH with a copy of the disclosures in this Report and requested that BDO China LXDH furnish it with a letter addressed to the Securities and Exchange Commission stating whether it agrees with the disclosures. The letter is attached as an exhibit to this Report.
