On ~~April~~May 124, 2011, ~~Shenzhen~~ Diguang ~~Electronics Company Co., Ltd. (“Shenzhen Diguang”), a subsidiary of Diguang~~ International Development Co., Ltd. (the “Company”), ~~entered~~was ~~into~~notified aby ~~contract~~BDO ~~with~~China ~~L&P~~Li ~~Honors~~Xin ~~Inc.,~~Da aHua ~~company~~CPA ~~organized and existing under the laws of Korea whose registered head office is located at 850 Tamnip-Dong~~Co., ~~Yuseong-Gu,~~Ltd. ~~Daejeon, Ko Rea~~ (“~~L&P~~BDO ~~Honors~~China LXDH”), ~~for~~its ~~the~~independent ~~purchase~~registered ofpublic ~~light~~accounting ~~guide~~firm, ~~plate~~that ~~laser~~BDO ~~engraving~~China ~~machine~~LXDH ~~lines~~has ~~worth~~decided anot ~~total~~to ~~price~~stand offor ~~$6,000,000~~re-election ~~(the~~as ~~“Agreement”). Under~~ the ~~Agreement,~~independent ~~Shenzhen~~registered ~~Diguang~~public ~~will~~accounting befirm ~~responsible for fifty one percent~~ of the ~~purchase~~Company ~~price,~~for orfiscal ~~$3,060,000,~~year ~~and~~2011. On ~~L&P Honors shall be responsible for~~ the ~~rest,~~same ~~or $2~~date,~~940,000,~~ ~~and~~BDO ~~Shenzhen~~China ~~Diguang~~LXDH ~~and~~also ~~L&P~~confirmed ~~Honors~~that ~~will have an equity interest in~~ the ~~assets~~client-auditor inrelationship ~~proportion~~between toitself ~~their individual contribution to the purchase price. This is a ‘turn-key’ agreement,~~ and ~~all of~~ the ~~laser~~Company ~~engraved~~has ~~light~~ceased ~~guide~~with ~~plates~~immediate ~~manufactured~~effect ~~by Shenzhen Diguang~~ from ~~the~~May ~~assets purchased under the Agreement~~4, ~~with a minimum of 150,000 pieces per month, have been guaranteed to be purchased by L&P Honors at the market price~~2011. ~~As guarantee of the proposed purchases, L&P Honors pledges to Shenzhen Diguang its forty nine percent equity stake in the assets purchased under the Agreement.~~

BDO China LXDH’s report on the financial statements for the fiscal year ended December 31, 2010, which was dated March 28, 2011, was modified to emphasize management’s uncertainty as to the Company’s ability to continue as a going concern.

BDO China LXDH’s reports on the financial statements for the last two fiscal years did not contain an adverse opinion or disclaimer of opinion or was qualified or modified as to uncertainty, audit scope or accounting principles, save as disclosed in the preceding paragraph.

During the fiscal years ended December 31, 2009 and 2010, and the interim period through May 4, 2011, there was no disagreement between the Company and BDO China LXDH regarding any of the matters described in Item 304(a)(1)(iv) of Regulation S-K, nor was there any reportable event described in Item 304(a)(1)(v) of Regulation S-K.

The Company has provided BDO China LXDH with a copy of the disclosures in this Report and requested that BDO China LXDH furnish it with a letter addressed to the Securities and Exchange Commission stating whether it agrees with the disclosures. The letter is attached as an exhibit to this Report.
