Submission of Matters to a Vote of Security Holders.

China Linen Textile Industry, Ltd. (the “Company”) held its Extraordinary General Meeting of the Shareholders on March 21, 2011. A total of 17,975,704 ordinary shares of the Company (the “Ordinary Shares”), representing 88.06% of the shares outstanding and eligible to vote and constituting a quorum, were represented in person or by valid proxies at the Extraordinary General Meeting. The final results for each of the matters submitted to a vote of shareholders at the Extraordinary General Meeting as set forth in the Proxy Statement are as follows:

Proposal 1. The consolidation of the share capital of the Company at a ratio of 3.5:1 by increasing the par value of the Company’s share capital from US$0.002 par value each to US$0.007 par value each, thereby reducing the number of authorized shares from US$1,000,000 divided into 500,000,000 Ordinary Shares of US$0.002 par value each to US$1,000,000 divided into 142,857,142.86 Ordinary Shares of US$0.007 par value each (the “Share Consolidation”) was approved by the shareholders by the votes set forth in the table below:
