Item 8.01 – Other Events.

Stamford Industrial Group, Inc. (the “Company”) will file a Form 15 with the Securities and Exchange Commission, immediately after the filing of this Current Report on Form 8-K, to voluntarily suspend its reporting obligations under the provisions of the Securities Exchange Act of 1934, as amended (the “Exchange Act”). The Company is eligible to file a Form 15 because the Company’s common stock is held by less than 300 stockholders of record. As a result of filing the Form 15, the Company’s obligation to file periodic and current reports under the Exchange Act, including Quarterly Reports on Form 10-Q, Annual Reports on Form 10-K, and Current Reports on Form 8-K will be immediately suspended. The Company does not intend to maintain the availability of information required to satisfy Rule 15c2-11 of the Exchange Act in the future, and, therefore, cannot give any assurances that its shares of common stock will continue to be quoted on the OTC Pink Sheets Electronic Quotation Service, that any broker will make a market in the Company’s common stock or that there will otherwise continue to be a market for the Company’s common stock.

As previously disclosed, on September 14, 2009, the Company’s wholly-owned subsidiary, Concord Steel, Inc., which constitutes substantially all of the Company’s assets, filed a voluntary petition for relief under Chapter 11 of the United States Bankruptcy Code, in the United States Bankruptcy Court for the Northern District of Ohio under the caption “In re Concord Steel, Inc.” (Case No. 09-43448). The Company was not included in Concord’s filing.
