Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 15, 2009, Finlay Enterprises, Inc. (“Finlay Enterprises”), the parent of Finlay Fine Jewelry Corporation (“Finlay Jewelry”), announced that Joseph M. Melvin, Executive Vice President and Chief Operating Officer of Finlay Enterprises and President and Chief Operating Officer of Finlay Jewelry, will retire effective as of June 30, 2009, and that Leslie A. Philip, Executive Vice President and Chief Merchandising Officer of Finlay Enterprises and Finlay Jewelry, will retire effective as of May 26, 2009.

In connection with these changes in senior management, Finlay Enterprises also announced that Karin Knudsen has been promoted to the position of Executive Vice President of Merchandising and Marketing of Finlay Jewelry. Ms. Knudsen has served in various positions with Finlay Jewelry since December 1984. Most recently, Ms. Knudsen was a Regional Vice President responsible for managing Finlay Jewelry's relationship with Macy's Central.
