- [F1]On January 6, 2009, Midtown Partners & Co., LLC, a FINRA registered broker-dealer which is wholly-owned by Apogee Financial Investments, Inc. sold the warrants to an unrelated third party in a private transaction. Mr. Diamond's wife, Deecembra Diamond, owns 36% of Apogee Financial Investments, Inc. Mr. Diamond specifically disclaims beneficial ownership of these shares except to the extent of his pecuniary interests therein. The warrants sold included 700,000 warrants with an exercise price of $0.50 and 1,400,000 warrants with an exercise price of $0.75. The warrants were sold for an aggregate purchase price of $600,000.
