[F1]Wurzburg Holding S.A. ("Wurzburg") owns all of the capital stock of Textile Investment International S.A. ("Textile"). Francois Girbaud and Marithe Bachellerie, who are married to each other, in the aggregate own a controlling interest in Wurzburg. Francois Girbaud is the only Reporting Person who is a director of the Issuer. The Reporting Persons each disclaim beneficial ownership of the reported securities except to the extent of his, her or its pecuniary interest therein and this report shall not be deemed an admission that any Reporting Person is the beneficial owner of the securities for purposes of Section 16, or for any other purpose.
[F2]Purchased by Textile from the Issuer for cash pursuant to a Stock Purchase Agreement, dated as of May 9, 2008.
[F3]Acquired by Textile from the Issuer pursuant to a Conversion Agreement, dated as of May 9, 2008, under which the entire $2,103,461 principal of, and $761,579 accrued interest on, a note of the Issuer held by Textile were converted into shares of Common Stock of the Issuer.
[F4]All of the shares are held directly by Textile, except for 582,500 shares which are held directly by Wurzburg.
