On May 2430, 2012, First Republic ~~Bank~~Preferred Capital Corporation (“FRPCC”), a majority-owned subsidiary of First Republic”) Bank, issued a ~~press~~notice ~~release~~to ~~announcing~~redeem aall ~~public~~of ~~offering~~the of2,400,000 ~~depositary~~outstanding shares, ~~each~~of ~~representing~~7.25% aNoncumulative ~~1/40th~~Perpetual ~~interest~~Series inD aPreferred ~~share~~Stock of ~~First~~FRPCC ~~Republic’s~~(the ~~Noncumulative Perpetual~~ “Series BD Preferred Stock”) on June 29, 2012 (the “Redemption Date”). InPursuant ~~connection~~to ~~with~~Section 3 of FRPCC’s Amended and Restated Certificate of Designations related to the ~~offering~~Series D Preferred Stock, ~~First~~shares ~~Republic~~are ~~has~~redeemable ~~concurrently~~at ~~filed~~the option of FRPCC at a ~~Form~~cash ~~8-K~~redemption ~~with~~price (the ~~Federal~~“Redemption ~~Deposit~~Price”) ~~Insurance~~equal ~~Corporation,~~to inthe ~~which~~sum itof: ~~disclosed~~(i) ~~that~~the liquidation preference of $25 per share plus (ii) the ~~proceeds~~amount of the ~~offering~~accrued ~~will,~~and ~~among~~unpaid ~~other~~dividends ~~things,~~thereon ~~offset~~(whether ~~the~~or ~~impact~~not ondeclared) ~~Tier~~from 1the ~~capital~~beginning of athe ~~possible~~period in which the redemption byoccurs ~~First~~to ~~Republic’s~~the ~~subsidiary,~~Redemption ~~First~~Date.
