(1) On June 25, 2025, the New York Stock Exchange (“NYSE”) filed a Form 25 for Superior Industries International, Inc., a Delaware corporation (the “Company”), in connection with the delisting of the common stock, par value $0.01, of the Company (the “Common Stock”) from the NYSE,. ~~which~~The delisting ~~became~~is expected to be effective ten days after the Form 25 was filed. The deregistration of the Common Stock under Section 12(b) of the Securities Exchange Act of 1934, as amended, will be effective 90 days, or such shorter period as the U.S. Securities and Exchange Commission may determine, after the filing of the Form 25. The Common Stock began trading on the OTC Pink Market on June 25, 2025 under the symbol “SSUP”.

As previously disclosed, on July 8, 2025, Superior Industries International, Inc., a Delaware corporation (the “Company”), ~~appointed~~entered ~~Shane~~into ~~Giebel,~~a Subscription Agreement (the ~~Company’s~~“Subscription ~~Vice~~Agreement”) ~~President~~with SUP Parent Holdings, ~~CFO~~LLC, ~~North~~a ~~America~~Delaware limited liability company (“Parent”), pursuant to which Parent agreed to purchase, and ~~Corporate~~the ~~Financial~~Company ~~Planning~~agreed to issue and ~~Analysis~~sell to Parent, as(i) ~~its~~7,600,000 ~~principal~~shares ~~financial~~of ~~officer~~common ~~and~~stock, ~~Interim~~par ~~Chief~~value ~~Financial~~$0.01, ~~Officer~~of the Company (the “~~Interim~~Common ~~CFO~~Shares”), ~~effective~~or ~~July 16,~~(ii) ~~2025,~~such toother ~~commence~~number of Common Shares as may be mutually agreed by the ~~transition~~Company ~~process~~and Parent, in ~~connection~~each ~~with~~case, ~~the~~for ~~previously~~a ~~announced~~purchase ~~departure~~price of ~~Dan~~$0.09 ~~Lee~~per share.

He has served at the Company as Vice President~~13, ~~CFO~~2025, ~~North~~Parent ~~America~~purchased ~~and Corporate Financial Planning and Analysis since January 2021, as Vice President of Finance, North American Operations and Production Planning~~ from ~~January~~the ~~2018 until December 2020~~Company, and ~~prior to that served in various other roles at~~ the Company ~~since~~issued ~~2004 (Vice President of Financial Planning~~ and ~~Analysis~~sold ~~(from April 2017~~ to ~~December~~Parent, ~~2017)~~7,600,000 ~~Director~~Common ofShares ~~Shared~~for ~~Services~~an aggregate ~~and~~purchase ~~Continuous~~price ~~Improvement (from January 2015 to March 2017), Director~~ of ~~Finance - Midwest (from July 2013 to December 2014)~~$684, ~~Controller (from April 2012 to June 2013)~~000, ~~Assistant~~pursuant ~~Controller (from August 2011~~ to ~~March~~the ~~2012),~~terms ~~and~~of ~~Internal~~the ~~Audit~~Subscription ~~Manager (from September 2004 to August 2011)~~Agreement.

~~Mr. Giebel~~The ~~will~~Common ~~receive~~Shares ansold ~~additional~~to ~~$5,000~~Parent ~~per~~pursuant ~~month~~to inthe ~~compensation~~Subscription ~~during~~Agreement ~~his~~are ~~tenure~~exempt ~~as Interim~~from ~~CFO,~~registration ~~which~~pursuant ~~will be prorated as necessary~~ to ~~account~~Section ~~for any partial month of service. Mr. Giebel will also receive~~ 4(a)(2) ~~$50,000 cash retention award, which will vest on December 31, 2025. The terms~~ of ~~his compensation will otherwise remain~~ the Securities ~~same.~~Act ~~There are no family relationships between Mr. Giebel and any director or executive officer~~ of ~~the Company~~1933, ~~and~~as heamended ~~has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404~~(a)the ~~of Regulation~~“Securities ~~S-K~~Act”).
