Pursuant to operative agreements of the THL Funds, the shares issued to the Reporting Person for service as a director while the Issuer was a portfolio company of the THL Funds were held for the benefit of the THL Funds and were required to be transferred to the THL Funds following the lapse of restrictions. The Reporting Person is a Managing Director of THL, which serves as the general partner of the managing member for certain of the THL Funds.
