- [F1]Effective as of April 30, 2018 (the "Distribution Date"), Pentair plc ("Pentair") completed the separation of its Electrical business from the rest of Pentair by means of a declaration of a dividend in specie of the Electrical business, effected by the transfer of the Electrical business from Pentair to nVent Electric plc ("nVent") and the issuance by nVent of ordinary shares in its share capital. In connection with the separation of the Electrical business, nVent acquired (i) the 2 ordinary shares, nominal value $0.01 per share, and (ii) the 25,000 Euro deferred shares, par value Euro 1.00 per share, of nVent held beneficially by Cafico Trust Company Limited for no consideration in accordance with the Irish Companies Act 2014 and cancelled such shares.
