Ltd., wherein the reporting person received, for each existing share of common stock, restricted stock unit, restricted share or option of Issuer held by the reporting person, 0.177 Whiting common shares, restricted stock units, restricted shares and options, respectively, having a market value of $37.25 per share (based on the closing price of Whiting's common stock on 12/5/14) on the effective date of the arrangement. All unvested restricted stock units and restricted shares became vested at the effective time of the arrangement.
