- [F1]The award of 1,000 shares of restricted stock was approved by the Compensation Committee of the Board of Directors (the "Compensation Committee") on May 4, 2011 ("Grant Date 2011") pursuant to the Southern Union Company Third Amended and Restated 2003 Stock and Incentive Plan(the "Plan"). The restrictions on the shares associated with this award expire on January 2, 2012. The expiration of the restrictions would be accelerated in the event of (i) a change of control of the Company or (ii) the death or disability of the Reporting Person.
- [F2]On May 4, 2011, the Compensation Committee approved an award of stock options pursuant to the Company's Plan. The stock options were awarded at an exercise price of $28.49 per share, which is equal to the closing price on Grant Date 2011. The options awarded will vest in full on January 2, 2012 and will remain exercisable until the tenth anniversary of Grant Date 2011. The vesting of the options would be accelerated in the event of (i) a change of control of the Company or (ii)the death or disability of the Reporting Person.
