- [F1]Under the employment agreement between the Issuer and the Reporting Person during the 2008 calendar year, the Reporting Person was entitled to annual mandatory stock option grants. Rather than issue the options, the parties mutually agreed to investigate other means of satisfying this obligation. On March 31, 2010 the Issuer agreed to the stock grant disclosed in this Form 4. The shares are issued for services rendered to the Issuer during the period from April 1, 2008 to December 31, 2008. The grants will vest: i) one half on the date of grant, March 31, 2010; ii) one quarter will vest on March 31, 2011; and the final one quarter will vest on March 31, 2012.
