Loan transferred to GMAC special servicing effective 12/4/03. Foreclosure occurred on 8/25/03 and the lender was the successful bidder at
$3.6 million. Continental Property Management based in Nashville is now managing the property for the trust. Property went from 76%
occupancy in 1/01 to 97.6% occupancy in 1/02 and then back down to 66% occupancy as of 6/30/03. As of 1/25/04, the property was 79%
occupied (up from 48% in January 2004). Management is claiming the decline is based on heavy skips/evictions of non-qualified residents.
Allied has instructed management to institute a more aggressive eviction/rent enforcement policy.

Modification

Pending Return to Master Servicer

Loan was transferred to special servicer on 12/1/2003 due to payment default. Chronic late payer. Discovered that borrower missed March
2003 payment. Borrower made up the missing payment, monitor for 90 days then transfer back to master. YE 2003 NOI - $3,000. YE
occupancy rate 77%. Borrower says poor performance due to redevelopment, will turn around in 2004. Minor insurance issues are being
resolved, then transfer to master.

Foreclosure

This loan was transferred to SS on 8/19/02 (loan due for 6/02 installment). An 11/02 appraisal indicates an "as is" value of $3.6MM. Ledic as
replacement Receiver has vacated and secured the property. Judicial foreclosure has commenced. A fire insurance claim has been denied by the
insurer due to lack of occupancy. A new property condition assessment reports indicates $4 MM in short tern repairs. Foreclosure date
4/20/4. Property sold at sale $3.1 MM, buyer has six months to close.

Modification

Loan transferred to special servicing on 2/11/04 due to low NOI. Borrower assumed loan 3/03, has been cash flow negative ever since.
Borrower has had to reduce rates $100/unit/month to keep occupancy at 85%. Borrower asking for eighteen-month forbearance period to
stablize, raise rents. Property inpected: Class C, fair condition. Appraisal ordered, will determine course of action pending receipt.

Foreclosure

This loan was transferred to SS on 8/19/02 as the Borrower was due for the 7/02 debt service payment. On 8/16/02 the Jefferson Cnty Circuit
Crt entered an Order Appting Receiver on behalf of Plaintiff Jefferson County Health Dept. Judicial foreclosure commenced. Ledic has
replaced Bill Stout as Receiver and has secured the property with fencing and boarding. A new prop condition assessment report indicated
$11235000 in immediate and short-term repairs. Foreclosure held April 20, 2004. Property was sold at foreclosure for $890,000, buyer has
six months to close.
