(the "Company"), as revised effective January 1, 2014, the Company's compensation committee annually grants each non-employee director an award of restricted common stock of the Company having a value of $55,000 on the date of grant. The shares of restricted stock awarded to non-employee directors in 2014 vest on the earlier of June 13, 2015 and immediately prior to the 2015 annual meeting of stockholders. Because Ms. Kurshan did not begin her term of service along with the other directors of American Public Education, Inc. on June 13, 2014, her award has been prorated accordingly to account for her comparatively shorter term of service.
