Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 30, 2025, Barbara Humpton notified the Board of Directors (the “Board”) of Fluence Energy, Inc. (the “Company”) of her resignation from the Board and the Compensation and Human Resources Committee of the Board, in each case effective as of the close of business on September 30, 2025. Ms. Humpton’s resignation did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
