- [F1]On May 27, 2025, CFIC-2015 NV Family Investments, LLC ("CFIC-2015") completed the purchase of an aggregate of 19,669,552 shares of the Issuer's common stock, par value $0.0001 per share ("Common Stock") at a purchase price of $0.1271 per share (the "Share Price"), subject to adjustment, for an aggregate purchase price of $2,500,000.00 pursuant to a Stock Purchase Agreement dated May 14, 2025 between the CFIC-2015 and the Issuer. Andrew Cherng and Peggy Cherng together own 100% of the voting interests of CFIC-2015.
