Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 29, 2024, Winston Ma resigned as a director of MCAA. Mr. Ma’s decision to resign was not the result of any dispute or disagreement with MCAA on any matter relating to MCAA’s operation, policies (including accounting or financial policies), or practices.
