Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On ~~February 8~~March 25, 2024, Chicken Soup for the Soul Entertainment Inc. (the “Company”) received ~~written~~a ~~notice~~staff ~~(the~~determination from The Nasdaq Stock Market (“~~Letter~~Nasdaq”) to delist the Company’s securities from the Nasdaq ~~Stock~~Capital Market ~~LLC~~ (the “~~Nasdaq~~Staff Determination”). ~~indicating~~As ~~that~~ the Company ~~was~~previously ~~not~~reported in ~~compliance~~its Current Report on Form 8-K, filed with the ~~continued~~SEC ~~listing~~September 28, 2023, ~~standards~~the ofCompany received written notice from Nasdaq on September 23, 2023 (the “~~Rules~~September 2023 Notice”) ~~because~~indicating that the Company was not in compliance with Nasdaq Listing Rule ~~5450~~ 5550(ba)(12)~~(C) requires~~ ~~listed~~because ~~securities~~for tothe ~~maintain a~~prior ~~minimum~~30 ~~market~~consecutive ~~value~~business ofdays ~~publicly held shares~~ (~~“MVPHS”)~~through ~~of $5~~September 21,~~000,000~~ ~~and~~2023), ~~based~~the ~~upon~~closing ~~Nasdaq’s~~bid ~~review~~price of the ~~MVPHS of the~~ Company’s Class A Common Stock, $0.0001 par value per share (“common stock”) had been below the minimum required value of $1 per share. The September 2023 Notice stated that the Company would be afforded 180 calendar days (until March 20, ~~for~~2024) to regain compliance, which compliance could be accomplished by the ~~last~~closing 30bid ~~consecutive~~price of the Company’s common stock being at least $1 for a minimum of ten consecutive business days. The September 2023 Notice also stated that if the Company did not regain compliance within the initial 180-day period, ~~from~~the ~~December 19~~Company may be eligible for an additional 180-day period, ~~2023~~and if not, or if it appeared to ~~February 7~~the Nasdaq staff that the Company would not be able to cure the deficiency, Nasdaq would provide notice after the end of the initial 180-day period that the Company’s securities would be subject to delisting. The Staff Determination was issued because, as of March 20, 2024, the Company nohad ~~longer~~not ~~meets~~yet ~~this~~regained ~~requirement~~compliance with Nasdaq Listing Rule 5550(a)(2) within the period allowed. Prior to sending the Staff Determination, Nasdaq informed the Company that it had determined in its discretion that the Company would not be eligible for such additional 180-day period to regain compliance.

~~Under~~The ~~the Rules, the~~ Company ~~now~~is ~~has~~currently ~~180~~noncompliant ~~calendar~~with ~~days~~certain ~~from~~Nasdaq ~~the~~Listing ~~date~~Rules ofother ~~the~~than ~~Letter~~Nasdaq toListing ~~regain~~Rule ~~compliance, which 180 day period ends August 6, 2024. If at anytime during this compliance period the Company’s MVPHS closes at $5,000,000 or more for~~ 5550(a ~~minimum of ten consecutive business days~~)(2), ~~the~~as ~~Company~~previously ~~will have regained compliance and this matter will be closed. The Company is considering various strategic options to increase the MVPHS of its common stock to regain compliance with the Rules.~~disclosed:

· As the Company ~~previously~~ reported in its Current Report on Form 8-K filed with the SEC ~~September 28~~On January 10, ~~2023~~2024, the Company received written notice from Nasdaq on ~~September 23~~January 2, ~~2023~~2024 (the “~~September 23,~~January ~~2023~~2024 Notice”) indicating that the Company was not in compliance with the Nasdaq Listing Rules because ~~for~~ the ~~prior~~Company 30has ~~consecutive~~less ~~business~~than ~~days (through September 21~~$10, ~~2023)~~000,000 ~~the~~in ~~closing bid price of the Company~~stockholders’s ~~Class A Common Stock, $0~~equity.~~0001~~ ~~par~~The ~~value~~January ~~per~~2024 ~~share~~Notice ~~(“common~~stated ~~stock”)~~that ~~had~~under ~~been below~~ the ~~minimum of $1 per share required for continued listing on the~~ Nasdaq ~~under~~Listing ~~Nasdaq Rule 5550(a)(2). The September 23~~Rules, ~~2023 Notice stated that~~ the Company ~~would~~had be45 ~~afforded 180~~ calendar days ~~(until~~to ~~March 20,~~submit ~~2024)~~a plan to regain compliance. ~~In order~~ to ~~regain compliance~~Nasdaq, ~~the~~and ~~closing~~that ~~bid~~if ~~price~~Nasdaq ofaccepted the Company’s ~~common~~plan, ~~stock~~Nasdaq ~~must~~could begrant atthe ~~least~~Company $1up ~~for~~to a180 ~~minimum~~calendar ~~of ten consecutive business~~ days~~. The~~ ~~September 23,~~from ~~2023 Notice also stated that, in~~ the ~~event~~date ~~the~~of ~~Company does not regain compliance within~~ the ~~initial~~January ~~180-day~~2024 ~~period~~Notice, ~~the~~ ~~Company~~which ~~may be eligible for an additional~~ 180-day period. Ifwould ~~the~~end ~~Company~~on isJuly ~~not~~3, ~~eligible for the additional 180-day period~~2024, ~~or if it appears~~ to ~~the~~regain ~~Nasdaq~~compliance. ~~staff~~The ~~that the~~ Company ~~will~~timely ~~not~~submitted bea ~~able~~plan to ~~cure~~regain ~~the deficiency~~compliance, which Nasdaq ~~will~~accepted, ~~provide~~and ~~notice after~~ the ~~end of the initial 180-day period that the~~ Company’s ~~securities will be subject to delisting. · As the Company ~~previously~~ reported in its Current Report on Form 8-K filed with the SEC Onon ~~January 10~~February 14, 2024, the Company received written notice from Nasdaq on ~~January 2~~February 8, 2024 (the “~~January 2,~~February 2024 Notice” ~~and, collectively with the September 23, 2023 Notice, the “Prior Notices”~~) indicating that the Company was not in compliance with ~~the~~Nasdaq ~~Rules because~~Listing ~~the Company~~Rule ~~has~~5450(b)(1)(C), ~~less~~which ~~than~~requires listed securities to maintain a minimum market value of publicly held shares (“MVPHS”) of $105,000,000 ~~in stockholders’ equity~~. The February 2024 Notice ~~stated~~was ~~that~~issued ~~under~~based upon the ~~Rules,~~MVPHS of the Company’s ~~has~~common 45stock ~~calendar~~for ~~days, which~~the ~~45-day~~30 ~~period~~consecutive ~~ends~~business ~~February 20,~~days ~~2024,~~from toDecember ~~submit~~19, a2023 ~~plan~~ to ~~regain~~February ~~compliance~~7, ~~to Nasdaq~~2024. IfUnder ~~Nasdaq accepts~~ the ~~Company’s plan,~~ Nasdaq ~~can~~Listing ~~grant~~Rules, anthe ~~exception~~Company ofhas ~~up to~~ 180 calendar days from the date of the ~~January 2,~~February 2024 Notice to regain compliance, which 180- day period ~~would~~ ~~end~~ends onAugust ~~July 3~~6, 2024,. toIf ~~regain~~at anytime during this compliance. ~~The~~period the Company’s ~~intends~~MVPHS tocloses ~~submit~~at a$5,000,000 ~~plan~~or tomore ~~regain~~for ~~compliance~~a tominimum ~~Nasdaq~~of ~~within~~ten consecutive business days, the ~~period allowed~~Company will have regained compliance and this matter will be closed. The Company is considering various strategic options to increase the MVPHS of its ~~stockholders’~~common ~~equity~~stock to regain compliance with the Nasdaq Listing Rules.

The ~~Letter~~Company ~~does~~may ~~not~~appeal ~~have~~the Staff Determination by filing a hearing request with Nasdaq on or before April 1, ~~and~~2024, pursuant to the procedures ~~Prior~~set ~~Notices~~forth ~~did~~in ~~not~~the ~~have,~~Nasdaq ~~any~~Listing ~~immediate~~Rules ~~effect~~5800 onSeries. Hearings are typically scheduled to occur within 45 days after the date ~~listing~~of the hearing request. The Company intends to appeal the Staff Determination and will file a hearing request with Nasdaq within the time allowed. The hearing request will stay the delisting of the Company’s securities pending the appeal. Pending the appeal, the Company’s securities will continue to be listed on the Nasdaq Capital Market. In the meantime, the Company is ~~which~~considering ~~remain~~various ~~trading~~strategic options to remedy its noncompliance with Nasdaq Listing Rule 5550(a)(2) and the other Nasdaq Listing Rules described above. There can be no assurance, however, that the Company will be able to regain compliance with Nasdaq Listing Rule 5550(a)(2) and the other Nasdaq Listing Rules ~~discussed~~ described above, or that the Company will otherwise maintain compliance with other Nasdaq Listing Rules.
