Item 7.01 Regulation FD Disclosure.

On August 1, 2022, Americas Technology Acquisition Corp. (“ATAC”) and Rally Communitas Corp., a Delaware corporation (“Rally”) issued a joint press release (the “Press Release”) announcing the filing by Americas Technology Acquisition Holdings Inc., a Delaware corporation and a wholly-owned subsidiary of ATAC (“Pubco”) of a preliminary registration statement/prospectus on Form S-4 in connection with the previously disclosed proposed business combination between ATAC and Rally.

A copy of the press release is furnished as Exhibit 99.1 hereto.
