- [F1]On July 12, 2017 a business combination involving the Issuer, SourceHOV Holdings, Inc. and Novitex Holdings, Inc. closed (the "Business Combination"). To facilitate the consummation of the Business Combination, Quinpario Partners 2 LLC (the "Sponsor") forfeited to the Issuer 17,985,193 warrants and 424,903 shares of common stock. The Sponsor received no consideration for the disposition of the warrants or common stock. As a result of the Business Combination and the related forfeiture, the Sponsor is no longer a 10% owner in the Issuer, and as such, the Sponsor is no longer subject to the reporting obligations under Section 16 with respect to the Issuer.
- [F2]Mr. Quinn is the sole managing member of Quinpario Partners LLC, which is the managing member of Quinpario Partners 2, LLC, and as such, controls the voting and disposition of such shares. Mr. Quinn disclaims beneficial ownership of these securities, except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that Mr. Quinn is the beneficial owner of the securities for purposes of Section 16 or for any other purpose.
